THOMAS T. GRIMSHAW received his B.A. from the University of Minnesota in 1953 with a Journalism major and a minor in Political Science. He received his law degree from Northwestern University in 1956 and has practiced in Denver, since that time. Mr. Grimshaw’s legal expertise lies in the areas of local government with an emphasis on infrastructure development, funding and construction, as well as in the area of land development with an emphasis on land use, planning and .

A former member of the State Board for Community Colleges and Occupational Education, served two terms in the Colorado General Assembly as a State Representative, and during that time sponsored the Colorado Housing Act. He has served extensively as a consultant to local governments on infrastructure development and to land developers and homebuilders on land use, planning and zoning issues. He was one of only a few business leaders who shared their collective visions over 25 years ago in an effort to tackle Denver’s transportation needs, and he helped guide the newly completed and well-executed T-REX project. Mr. Grimshaw remains involved to this day.

Heavily involved in the community, Mr. Grimshaw has chaired the Denver Partnership, the Colorado Housing Authority, Business for Better Government, the Colorado Council on Economic Education, Brothers Redevelopment Inc., Exempla Inc., Swallow Hill Music Association and the Colorado Community College System Foundation.  He has served on the board of Sturm Financial Corp. and is a life member of the Uniform Law Conference.  In 2008 he was named one of Colorado’s top Individuals in Zoning and Land Use, by the UK based Chambers & Partners.

Mr. Seelman is a shareholder and director at Grimshaw & Harring, P.C. He concentrates his practice on complex commercial litigation matters in the following areas:

and Litigation.  Mr Seelman represents clients in federal and state antitrust litigation matters involving monopolization, price-fixing, bid-rigging, market divisions, market foreclosure, resale price maintenance, tying, and practices. He also counsels corporate clients on the fundamentals of federal and state antitrust laws, implements customized antitrust audit and compliance programs, conducts internal audit and compliance investigations, structures distribution and marketing programs, and analyzes the competitive framework of business arrangements with suppliers, wholesalers, retailers, brokers and customers.

Employment Litigation.  Mr. Seelman represents clients in federal and state court employment litigation involving trade secret protection, restrictive covenants (non-competition agreements, non-solicitation agreements, and non-disclosure agreements), wage and hour, and breach of contract matters.

Breach of Contract Litigation.  Mr. Seelman represents clients in federal and state court breach of contract litigation involving employment, energy, banking, financial services, title , construction, and commercial loans areas.

Construction Litigation.  Mr. Seelman represents clients in state court construction defect litigation.

Financial Fraud Litigation.  Mr. Seelman represents clients in federal and state court fraud litigation involving banking, mortgage, and financial services.

Mr. Seelman is also an Adjunct Professor of Antitrust Law at the Sturm College of Law at the University of Denver. In that capacity, he teaches the history of the English monopoly and United States antitrust laws.

Representative Experience

~~Defended a Colorado agricultural grower in an investigation brought by the U.S. Department of Labor alleging numerous violations of federal employment laws pertaining to the use of H-2A workers.

~~Defended a Colorado agricultural grower in a federal employment lawsuit brought by the Colorado Legal Services on behalf of agricultural workers alleging numerous violations of state and federal employment laws.

~~Defended a Fortune 500 oil refinery and marketing company in a federal national class action lawsuit alleging violations of the federal antitrust laws (Section 1 and 2 of the Sherman Act, Section 3 of the Clayton Act), multi-state antitrust and consumer protection laws (Colorado, Texas, California, Oklahoma, and Louisiana), and state common law claims related to the drug testing services in the oil industry.

~~Defended a Michigan bank holding company (and its wholly owned subsidiaries) in a state trade mark and unfair competition lawsuit.  (Co-defended with the Colorado Attorney General’s Office).

~~Defended former Broadband executive against third-party discovery matters arising out of a federal antitrust lawsuit alleging monopolization and conspiracy in the cable industry.

~~Defended a national mortgage company in a federal lawsuit alleging violations of the Truth and Lending Act, the Real Estate Settlement Procedures Act, and common law fraud claims.

~~Represented companies in over thirty antitrust and unfair competition lawsuits in federal and state courts throughout the United States involving allegations of monopolization, price-fixing, exclusionary practices, bid rigging, market and customer allocations in a variety of industries.

~~Advised a Canadian company of potential federal antitrust defenses against allegations of federal patent/trademark violations asserted by a U.S. company.

 On January 1, 2008, Larry W. Berkowitz left his 29 year appointment as City Attorney for Littleton and returned to private practice.  Mr. Berkowitz has had a part-time presence at Grimshaw & Harring since 1995, and we welcome his knowledge and expertise full-time in the areas of municipal and , land use and , , finance and bond transactions, and housing.

With a University of Colorado magna cum laude degree in Journalism, Mr. Berkowitz earned his JD at CU in 1973. In 1984, after working with the City of Littleton’s District Attorney, he accepted the City Council’s appointment as City Attorney. In the 29 years since, he helped acquire much of Littleton’s parks and open space, brought the RTD Light Rail to the south corridor, and secured settlement of the Lowery Landfill insurance cases, saving Littleton large fines imposed by the Colorado Department of Health.

In addition to serving as City Attorney, Larry has served as the Colorado State Chair of the International Municipal Association for 30 years; is a 20 year member of the Colorado Municipal League holding positions on its Policy Committee, Liquor and Beer Codes Study Committee, Amendment 1 Ad hoc Committee and its City Section; was Treasurer, VP and President of the Metro Denver Water Authority; is a member of the National Association of Bond Lawyers, City Attorneys Association and National Association of Public Pension Attorneys; is a member of the Colorado, Denver, Arapahoe County, and American Bar Associations, and is licensed in the U.S. District Court (Colorado), Court of , Supreme Court, 10th Circuit and U.S. .
